Pierre Davoust, Chair

Pierre Davoust joined Euronext in 2019 as Head of Business Development. Pierre is a Non-Executive Director of Tokeny Solutions, a Luxembourg-based tokenization venture.

Before joining Euronext, Pierre was Head of Markets at SETL, a UK-based blockchain company focusing on financial services, Chief Executive Officer of Iznes, a mutual fund distribution platform and Non-Executive Director of ID2S, a blockchain-based Central Securities Depository controlled by Orange.

Prior to that, Pierre held various positions at the French Treasury, and served in particular as deputy head of financial markets.

Pierre holds Master’s degrees from Ecole Polytechnique, Ecole des Ponts ParisTech and Paris School of Economics.

Anne-Lise Kristiansen

Anne-Lise Kristiansen

Anne-Lise Kristiansen (born 1960) has been a member of the Board of Directors of Euronext Securities Oslo since 2012. She was elected Chair of the Board of Directors at the annual general meeting held in May 2017 and held this position until the extra ordinary general meeting in September 2019. She has previously been a member of The Committee of Representatives of Sparebanken Nor.

Anne-Lise Kristiansen has gained broad experience from her work in finance and in the securities industry. Since she started her career in Nordea in 2002, she has held several executive positions within Securities Services and she has held the position as Nordic head of Securities Services since 2008. She has previous experience from Storebrand Kapitalforvaltning ASA, Saga Petroleum ASA and Forum Touch Ross (Deloitte).

Anne-Lise Kristiansen holds a Master’s degree in Commerce from BI Norwegian School of Management . She has further studied at American Graduate School of International Management, Arizona, USA and the Norwegian School of Economics (NHH) in Bergen (The Advanced Auditing program).

Isabel Ucha

Isabel Ucha was appointed member of the Board of Directors of Euronext Securities Oslo* and of Oslo Borse VPS (holding), in September 2019. She is also member of the Managing Board of Euronext NV and the CEO of Euronext Lisbon and Interbolsa (the Portuguese CSD). Before joining Euronext in 2008, she accumulated long professional experience in several private companies and government related jobs, with a strong focus on finance and economics. Isabel Ucha served as an economic advisor for the Prime Minister of Portugal for 4 years, headed the Issuing and Markets Unit for the Portuguese Debt Management (IGCP), held several positions at CMVM, the Portuguese securities regulator, and was a managing partner of a consultancy firm for around 7 years.

Isabel Ucha holds a Master Degree in Finance from London Business School and a Master Degree in Economics from NOVA School of Business and Economics. She has also maintained an academic career for more than 30 years, lecturing several Economics and Finance courses.

Emilie Rieupeyroux

Emilie is Head of Innovation at Euronext. She has been instrumental notably in defining the group’s next strategic orientations for 2019 onwards and is coordinating exploration and concrete use cases on new technologies such as blockchain and artificial intelligence.

Previously, she was responsible for high frequency market making within the group’s cash equity unit as well as for anticipating and adapting, from a business perspective, to regulatory changes, principally brought by MiFID2/R. She also worked in the French Ministry of Finance to enhance the efficiency of public services.

She graduated from the London School of Economics and the Lille’s Political Science Institute.

Åsmund Skår 43

Åsmund Skår

Åsmund Skår (born 1959) was elected member of the Board of Directors of Euronext Securities Oslo in May 2016.
Skaar holds a Master’s Degree in Business and Economics from the Norwegian School of Economics in Bergen. During the years 1990-2015 he has held several executive positions with Sparebanken NOR/Gjensidige NOR/DNB, including the positions as executive vice president and head of the retail area, head of energy in the US/Canada and as CEO of the bank’s subsidiary in Latvia. During the same period he has also been a board member of several DNB subsidiaries. Skaar has previously worked in the finance department at Statoil in Stavanger.
Skår is currently working as an independent consultant and he is chairing the Boards of Directors of Pareto Bank ASA and Pareto Wealth Management AS.

Ivar Qvist

Ivar Qvist (born 1965) was elected member of the Board of Directors of Euronext Securities Oslo in May 2017. He is also a deputy board member of Verdipapirfondenes Forening (the Norwegian Fund and Asset Management Association). He has previously held the position as board member and Chair of Storebrand Optimer ASA.

Today, Ivar Qvist is the CEO of Fondsfinans Kapitalforvaltning AS. He has broad experience within industry, finance and management from Oslo Børs ASA, Norske Skog ASA, Wilh. Wilhelmsen ASA, Storebrand Bank AS and Storebrand Kapitalforvaltning AS. Qvist holds a Master’s Degree in Business and Economics from the Norwegian School of Economics in Bergen.  He is also a Fixed Income Analyst (NFF) and has managment training from the Scandinavian Leadership and Experienced Professional Program in Storebrand.

Stina Hauknes

Employee representative VPS

Stina Hauknes (born 1972) was elected as employee representative to the board of VPS in 2018. She is charge of test management at VPS, where she has been employed since 2014. Stina holds a postgraduate degree from Economics and Business Administration from the Nord University Business School (1996) and is certified in test management, project management and scrum. She has extensive IT project experience, having participated as developer, analyst, project manager and test manager at Cinet, If, KLP and VPS, respectively.

Morten Nordby

Morten Nordby

Employee representative VPS

Mr Nordby (born 1959) is Senior Development Officer at VPS Clearing and Settlement. He has been with VPS since 1985, and was responsible for developing the VPS settlement environment and ISO 15022 interface. Mr. Nordby has been an employee representative since April 2005.

 

 

Requirements to the composition of the board of directors

Section 4-1 of the Securities Register Act provides the requirements with respect to the composition of the board of directors of a securities register licensed in accordance with the Securities Register Act Section 3-1.

Extract from the Securities Register Act – Section 4-1 Board of directors and management:

A securities register shall have a board of directors consisting of at least five members. The chief executive officer may not be a member of the board of directors.

Board members, the chief executive officer and others participating in the actual management of the securities register shall have relevant qualifications and professional experience, be of good repute and shall otherwise not have displayed untoward behaviour that gives grounds for presuming that the position or office will not be discharged in a proper manner.

The securities register shall notify Finanstilsynet of any changes in the board’s composition or replacement of the chief executive officer or other persons participating in the actual management of the business. Notification shall as far as possible be given in advance, and shall contain necessary information on qualifications, professional experience, reputation, and about any office or position held in another institution. Finanstilsynet may order that such changes shall not be put into effect if it can be expected to result in non-fulfilment of the requirements of the second paragraph.

In addition to the above, the resolution by the Ministry of Finance dated 8 November 2007 requires the following condition for the merger between Oslo Børs Holding ASA and VPS Holding ASA:

“The Board of directors of Verdipapirsentralen ASA is to be represented by a chairperson and more than half of the total members of the board of directors are independent of Oslo Børs ASA.”

The Board comprises nine members in total. Of these, two members, Bente A. Landsnes and Catharina Hellerud, are not considered independent as defined according to the condition of the authorisation. Landsnes is holding the position as chief executive officer of the holding company, Oslo Børs VPS Holding ASA as well as the posistion as chief executive officer of Oslo Børs ASA.  Hellerud holds the position as chairperson of the board of directors of Oslo Børs VPS Holding ASA.

Further, the Norwegian Code of Practice for Corporate Governance addresses the composition of the Board of Directors. The statement of the Board of directors of Oslo Børs VPS Holding of 25 January 2017 on corporate governance, Section 8 The Board’s composition and independence, opines that the company’s principles for corporate governance corresponds to the Norwegian Code. This statement also refers to Verdipapirsentralen ASA.

Based on the criteria as stated by the holding company’s Board, the chief executive officer of the holding company Bente A. Landsnes, as well as the two employees’ representatives in the Board of directors of Verdipapirsentralen ASA, are considered as dependent. One of the Board’s members, Anne-Lise Kristiansen, is employed by one of VPS’ major customers. The other four members are independent according to the criteria mentioned.
